Terms of Service

These Terms of Service (the "Terms") govern access to and use of the websites, products, and services provided by Tickets Wholesale ("we", "us", "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Eligibility

Our Services are designed for agencies and professional resellers. You represent that you are acting in a business capacity and have authority to bind the entity you represent.

2. Accounts and authentication

You must maintain the security of your account credentials and promptly notify us of any unauthorized use. You are responsible for actions taken using your account.

3. Orders, pricing, and payment

Pricing and availability are subject to change until an order is confirmed. Payments may be processed by third-party providers. You authorize us and our providers to charge applicable amounts, taxes, and fees.

4. Delivery and risk

We work with vetted partners to fulfill orders reliably. Risk of loss passes upon successful delivery as defined in the order confirmation and applicable policies.

5. Acceptable use

• No unlawful, deceptive, or fraudulent activity.
• No interference with or disruption of the Services.
• No attempts to access data without authorization or to reverse engineer components.

6. Confidentiality

Non-public information disclosed by either party marked or reasonably understood as confidential must be protected and used only for purposes of these Terms.

7. Intellectual property

The Services, including all software, content, and brand assets, are owned by us or our licensors and are protected by law. No rights are granted except as expressly stated in these Terms.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Tickets Wholesale and our affiliates from claims arising out of your use of the Services or violation of these Terms.

11. Suspension and termination

We may suspend or terminate access for violations of these Terms, legal requirements, or to protect the security, integrity, or availability of the Services.

12. Governing law

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Venue and jurisdiction will be in British Columbia, Canada, unless otherwise agreed in writing.

13. Changes

We may update these Terms from time to time. We will post changes here and update the "Last updated" date. Material changes may be accompanied by additional notice.
